Terms & Conditions

1. This quotation is valid for a period of thirty (30) days, and applies only to those quantities and delivery schedule shown above and shipped within one year of order.
2. A Purchase Order is required. Schedules may not be changed within 60 days of the requested ship date.
3. This Order may not be canceled without AJPS recovering all expenses associated with this order.
4. AJPS reserves the right to charge customer for any change to the specifications. This specifically includes the cost of excess or obsolete components.
5. AJPS agrees to take all reasonable precautions to assure an uninterrupted supply of needed components; however, the parties agree that AJPS will not be responsible for adverse market conditions that may create shortages and allocations.
6. AJPS may raise or lower the price of products in accordance with any changes in component prices or labor costs. Any such change will only be made after giving customer 30 days written notice.
7. The Customer must indemnify and hold AJPS and any of its affiliates harmless from and against any and all claims, liabilities or damages including, without limitation, attorney’s fees and expenses, which may result from or arise out of the development, design, production, manufacture, use or sale.
8. All quotations and sales are made upon these terms and conditions. This document is a rejection of any other terms and conditions; nor shall any purchase order or other customer document be deemed an offer or counter-offer to this document. The Purchaser, by accepting any goods, making any payments, or ordering any goods having previously received these terms and conditions, will be deemed to have assented to these terms and conditions.
9. All designs, PCB layouts, schematics and mechanical drawings developed by AJPS remain the property of AJPS regardless of NRE charges, setup charges, development charges, design modification fees, etc., and may not be copied, distributed, manufactured or produced in any manner without written consent from AJPS. All lead times are quoted from date of payment of ARO charges.
